1. Introduction and Acceptance

As our engagement with you is not conducted on a face-to-face basis, it is necessary to set out clearly, in advance, the terms governing the relationship between Taxbal.com ("Taxbal.com", "we", "us", or "our") and its users ("you" or "user"). By approaching, transacting with, paying, or otherwise contacting Taxbal.com for Registration Services, Licence/Government Registration, Compliance Services, Financial Services, Audit Services, or any other service offered by us, you shall be deemed to have read, understood, and accepted these Terms and Conditions ("Agreement") in their entirety.

This Agreement shall apply to all users of Taxbal.com, including in the event of any dispute arising in the future in connection with the services availed.

If you wish to use our "Common Needs" feature, you affirm that you are above the age of 18 years and possess the full legal capacity and competence to enter into the obligations, representations, and warranties arising from the use and creation of documents through this feature.

2. Nature of Services – Taxbal.com as a Facilitating Platform

Taxbal.com is an internet-based platform that facilitates communication between professionals and prospective users of professional services. We provide a venue through which providers and seekers of such services may exchange information, with the objective of enabling a professional relationship. Taxbal.com does not guarantee that a user will successfully secure the services of a professional through this platform and takes no position on whether, or when, a professional-client relationship has been established.

In order to maintain neutrality, Taxbal.com does not participate in the agreements entered into between professionals and clients, nor in the actual delivery of services. Consequently, we are unable to ensure the completion of any such agreement or vouch for the integrity of either party. Users are solely responsible for evaluating the credibility, honesty, and trustworthiness of any person with whom they communicate through this platform.

2.1 No Professional-Client Relationship with Taxbal.com

Taxbal.com is not the agent of any professional listed on the platform. Any communication directed to Taxbal.com shall not, by itself, create a professional-client relationship between the user and Taxbal.com.

2.2 No Endorsement of Users

Taxbal.com does not promote any particular user or professional. The platform is not intended to serve as a medium for advertising or solicitation, and the content available on the website should not be construed as professional or legal advice. We may, where appropriate, recommend a subscribing professional whose profile matches a user's requirements; however, this does not constitute or create a professional-client relationship. Users are encouraged to independently review professional profiles before making an informed decision.

2.3 No Solicitation

Taxbal.com restricts visibility of client information to professionals until the client initiates direct communication. Professionals are accordingly not permitted to access private client information without such communication having taken place.

2.4 No Legal or Professional Advice

The "Common Needs" feature generates basic documents based solely on information supplied by the user. Content available in the FAQs section is intended only to address commonly raised queries (such as those relating to drafting of wills, lease agreements, cheque dishonour notices, recovery notices, and powers of attorney) and does not constitute professional or legal advice. Users requiring specialised guidance are advised to consult a qualified professional.

2.5  No Representations Regarding Professionals

Taxbal.com makes no representation, guarantee, or warranty, whether express or implied, regarding the competence, qualifications, or quality of services rendered by any professional or firm listed on the platform.

3. "Common Needs" Feature – Restrictions on Use

Taxbal.com grants users a limited, personal, non-exclusive, and non-transferable licence to use the "Common Needs" feature for personal use, or, in the case of a professional user, on behalf of their client. Save as expressly permitted, users shall not modify, copy, reproduce, create derivative works from, reverse engineer, or otherwise exploit any forms made available through this feature, except to the extent necessary to complete such forms for authorised use.

Documents purchased through Taxbal.com are licensed solely for the purchaser's personal or business use, or for use in connection with their client, and may not be resold or redistributed without our prior written consent. Unauthorised resale or distribution shall constitute an infringement of Taxbal.com's copyright and may attract legal action.

4. User Conduct

Users are granted a non-exclusive, limited right to access and use the platform in accordance with this Agreement. To preserve the integrity and usefulness of the platform, users shall not engage in any of the following:

Use of foul, abusive, or otherwise inappropriate language; Posting of racist, hateful, or offensive comments;

Promotion of, or provision of instructional information relating to, illegal activities or activities causing physical harm to any individual or group;

Defamation of any person or group, irrespective of age, race, religion, or nationality;

Infringement of the rights of others, including intellectual property rights such as copyright, trademark, patent, or trade secrets;

Violation of applicable internet standards and protocols;

Posting or transmission of harassing, threatening, vulgar, obscene, or otherwise tortious material, or material that invades the privacy of others;

Disruption of the service through unsolicited advertisements, spam, chain communications, or mass unsolicited e-mails; and

Any attempt to compromise the security of the platform, including unauthorised access to restricted areas or to other users' accounts.

Taxbal.com reserves the right to deny or restrict access to any user found to be in violation of the foregoing, or who is the subject of a complaint by other users, or for any other reason it deems appropriate.

5. Payment and Refund Policy

5.1 Payment Policy

Where a service involves multiple stages (for example, company registration involving the issuance of a Digital Signature Certificate, name reservation, document preparation, and final filing), users may make payment in instalments corresponding to each stage; however, the full payment must be received prior to final submission.

Where a service is rendered on a one-time basis (for example, GST registration, income tax return filing, or licence applications), the entire fee shall be payable in advance.

5.2 Refund Policy

As a general rule, fees paid to Taxbal.com are non-refundable, given that work on a user's request typically commences upon receipt of the relevant documents and information. Refunds may, however, be considered under the following limited circumstances, and the satisfaction of these circumstances does not guarantee that a refund will be granted:

Erroneous or Excess Payment / Cancellation Prior to Commencement of Work: Where payment has been received in error or in excess, or where work is cancelled before commencement, the amount actually received by Taxbal.com (net of payment gateway processing fees, which are non-refundable to us) shall be refunded.

Extenuating Circumstances: Where a request remains unprocessed due to factors such as technical failure, server downtime, or an inability to attend to the request during periods of high volume, and partial work has been completed, fifty percent (50%) of the amount received (net of payment gateway processing fees) shall be refunded.

5.3 Procedure for Requesting a Refund

Refund requests must be submitted via our "Contact Us" facility or by e-mail to [email protected], accompanied by:

A copy of the relevant bank statement evidencing payment; and

A written request specifying the bank account number, IFSC code, and reason for the refund.

Upon receipt and acceptance of the required documentation, refund requests shall be processed within fifteen (15) working days.

6. Disclaimer of Information

6.1 General Disclaimer

Taxbal.com serves as an informational resource and connects users with professionals; however, the content on the platform, while intended to be accurate, complete, and current, is not warranted or guaranteed as such. We assume no liability for the interpretation or use of information available on the website. Links to third-party websites do not constitute an endorsement of, or affiliation with, such websites, and we make no representations regarding their content.

While Taxbal.com endeavours to verify that listed professionals are duly licensed and in good standing at the time of registration, we are unable to continuously monitor or verify their ongoing status. Users are encouraged to undertake their own independent due diligence before engaging any professional or firm listed on the platform.

6.2 User-Generated Content

Taxbal.com may permit users to post reviews, comments, and other content. We are not the publisher or author of such content and disclaim all responsibility for it. Where any content is brought to our attention as offensive or inappropriate, it will be removed as soon as reasonably possible, the determination of which shall rest solely with Taxbal.com.

7. Restrictions on Use of the Platform

The content available on Taxbal.com is intended solely for personal use and not for commercial exploitation. Users shall not decompile, reverse engineer, disassemble, rent, lease, sell, sublicense, or create derivative works based on the platform, nor employ any automated means (including robots, spiders, or scraping tools) to extract or monitor content without our prior written consent. Any unauthorised use of Taxbal.com or its content is strictly prohibited and may give rise to legal action.

8. Confidentiality

We make reasonable efforts to maintain the confidentiality of information submitted by users. However, the use of the internet for transmission of sensitive information inherently carries certain risks, and we cannot guarantee absolute confidentiality. Users are advised to describe their requirements in general terms and to refrain from disclosing specific or sensitive information until a professional has been formally engaged outside the platform. Taxbal.com shall not be liable for any unauthorised disclosure arising from user error or system failure.

9. Indemnification

The user agrees to indemnify, defend, and hold harmless Taxbal.com, its founders, officers, and employees from and against any liability, loss, claim, damage, or expense (including reasonable professional fees) arising from or in connection with the user's use of the platform or any breach of this Agreement. Taxbal.com reserves the right, at its own expense, to assume exclusive control of the defence of any matter otherwise subject to indemnification.

10. Data Security

Taxbal.com shall not be responsible for any loss of data resulting from accidental or deliberate deletion, network or system failure, backup failure, or file corruption.

11. Licence of User Content to Taxbal.com

By submitting content to Taxbal.com, the user grants us a perpetual, royalty-free, irrevocable, non-exclusive licence to use, reproduce, modify, publish, and distribute such content in any form or medium. Notwithstanding the foregoing, information of a sensitive nature shall not be intentionally disclosed to any third party.

12. Intellectual Property Rights

All content, materials, logos, graphics, and information on Taxbal.com are protected under applicable copyright, trademark, and other intellectual property laws and remain the exclusive property of Taxbal.com, except as otherwise indicated. Users may not reproduce, distribute, or create derivative works from such content without our prior written authorisation. Any rights not expressly granted under this Agreement are reserved by Taxbal.com.

13. Linking to Taxbal.com

Users may link to the homepage of Taxbal.com, provided that such links do not frame, obscure, or otherwise alter any portion of the homepage. Taxbal.com reserves the right to require discontinuation of any such link at its discretion.

14. Advertisements and Sponsorships

Taxbal.com may feature third-party advertising or sponsorship. Advertisers and sponsors are solely responsible for ensuring that their content is accurate and compliant with applicable laws. Taxbal.com shall bear no liability for any inaccuracies in such materials.

15. Registration

Where registration is required, users agree to provide accurate and complete information and to promptly update Taxbal.com of any changes. Each registration is intended for use by a single individual only, and unauthorised sharing of login credentials is prohibited. Suspected unauthorised use should be reported to us immediately.

16. Errors, Corrections, and Modifications

Taxbal.com does not warrant that the platform will be error-free or free from harmful components. We reserve the right to modify, improve, or update the platform's features and functionality at any time, without prior notice.

17. Third-Party Content

Taxbal.com is not responsible for, and assumes no liability in connection with, any third-party content appearing on or accessible through the platform, including any errors, omissions, or defamatory statements contained therein.

18. Unlawful Activity and Remedies

Taxbal.com reserves the right to investigate any reported violations of this Agreement and to take appropriate action, including reporting suspected unlawful activity to relevant authorities. We further reserve the right to pursue all remedies available in law or equity, including restricting access to the platform, in respect of any violation of this Agreement.

19. Conflict Checks

Users acknowledge that registered professionals are not in a position to conduct conflict-of-interest checks prior to responding to a request, as the information shared via the platform is insufficient for this purpose.

20. Severability

This Agreement, together with our Privacy Policy, constitutes the entire understanding between the user and Taxbal.com in respect of the use of our services. Should any provision of this Agreement be held unlawful, void, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

21. Amendment of Terms

Taxbal.com reserves the right to amend this Agreement at any time. Users are responsible for reviewing these Terms and Conditions periodically. Continued use of the platform following any amendment shall constitute acceptance of the revised terms.

22. Modification or Discontinuation of Service

Taxbal.com reserves the right to modify, suspend, or discontinue the service, in whole or in part, at any time, with or without notice, and shall not be liable to any user or third party for doing so.

23. Disclaimer of Warranties

The platform is provided on an "as is" and "as available" basis. Taxbal.com expressly disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, nor do we warrant the accuracy or reliability of any information obtained through the platform.

24. Limitation of Liability

To the fullest extent permitted by law, Taxbal.com shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of, or inability to use, the platform, including but not limited to loss of profits, data, or other intangible losses, even where we have been advised of the possibility of such damages.

25. Arbitration and Governing Law

Any dispute or claim arising out of or in connection with this Agreement shall be settled through binding arbitration in accordance with the laws of India, conducted on an individual basis. All other disputes of a legal nature shall be governed by the laws of India, and the courts at Agra shall have exclusive jurisdiction over all such matters.

26. Ownership

Taxbal.com and all materials provided on the platform, including information, documents, logos, graphics, and images, are owned by Taxbal.com. No materials may be reproduced, distributed, or otherwise used without our express written consent.

27. Entire Agreement

This Agreement constitutes the entire understanding between the user and Taxbal.com and supersedes all prior communications, whether written or oral, in relation to the subject matter hereof. If you do not agree to these Terms and Conditions, we request that you refrain from using this platform. These Terms and Conditions may be revised at any time without prior notice, and it remains the user's responsibility to review them periodically.

By accessing or using Taxbal.com, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

28. Indemnification (General)

You agree to defend, indemnify, and hold harmless Taxbal.com, its directors, shareholders, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable professional fees, arising out of or in connection with your access to or use of the platform and its materials.
